Company Formation in Singapore 2026: Cost, Steps, Timeline

Company formation in Singapore does not require the owners to travel: a private limited company is filed online through a registered filing agent and most applications are approved on the day of payment. What decides whether the structure works is not registration but the requirement for at least one director ordinarily resident in Singapore, the scrutiny banks apply to foreign owners, the salary thresholds for the manager’s pass and how the company is treated in the owners’ home country.

Company formation in Singapore: which structure is right for you?

For most foreign investors, company formation in Singapore means a private limited company: one to fifty shareholders, SGD 1 of capital, liability limited to the contribution and a single director. A branch and a representative office are extensions of the parent; a sole proprietorship or partnership is open to foreigners but needs a resident representative. In company formation in Singapore the choice depends on whether a separate entity is wanted, the activity and whether the manager will relocate.

Private limited company Pte. Ltd. The most common vehicle

Formed by individual or corporate, local or foreign shareholders. At least one director must be ordinarily resident in Singapore; a secretary is appointed within six months.

  • Minimum capital SGD 1
  • Audit exemption for small companies
  • Three-year start-up exemption
No separate entity Branch An extension of the foreign parent

Registered with the parent’s certified incorporation documents and financial statements; a resident authorised representative with personal liability is mandatory.

  • Registration fee SGD 300
  • Parent’s financial statements filed yearly
  • No start-up exemption
Preparatory Representative office Temporary vehicle for market study

The parent must be at least three years old with turnover above USD 250,000; granted for one year, extendable to three in total; no sales.

  • Yearly fee SGD 200
  • Fewer than five staff
  • Separate regulator for banking and insurance
Tax exemptions and incentives

Whatever the vehicle, the reasons that stand out for company formation in Singapore are the partial and start-up exemptions on the 17% rate, no withholding on dividends, no capital gains tax and a wide treaty network. The Pioneer Certificate and Development and Expansion Incentive (5–15% concessionary rates), the Global Trader Programme, the Refundable Investment Credit and the Enterprise Innovation Scheme (400% deduction on the first SGD 400,000) are conditional incentives that require application and scale.

How does company formation in Singapore work, step by step?

OzbekCPA coordinates the formation with its team in Singapore: the document list is issued, the constitution is drafted, the resident director and secretary solution is planned, the filing is made through a registered filing agent and the bank opening is supported. In company formation in Singapore, foreigners living abroad cannot file directly; a registered filing agent verifies identity and submits the application to the online register.

  1. Day 1Name and structureThe name is reserved with the register (SGD 15); shareholders, director, secretary, financial year-end and activity code are settled.
  2. Weeks 1–2Documents and identity verificationPassport, residential address and contact address for each shareholder and director; current parent documents for a corporate shareholder. Singapore has been party to the apostille convention since 2021; the document standard is set by the filing agent.
  3. 1 dayResident director and registered addressAt least one director ordinarily resident in Singapore (citizen, permanent resident or pass holder) and a Singapore address that is not a post-office box.
  4. Same dayRegistrationThe application and the SGD 300 fee are filed online; most files are approved shortly after payment, complex files take 15 working days and licensed activities 14–60 days. Beneficial-owner data is filed at incorporation.
  5. Within 6 monthsSecretary and auditorA resident secretary within six months and an auditor (unless exempt) within three months.
  6. 1–8 weeksBank accountTraditional banks usually ask for an in-person meeting with the directors and quote one to eight weeks; digital banks open remotely within days.

An investor who opens a branch instead of completing company formation in Singapore submits the parent’s incorporation certificate certified by the home registry, notarised constitution, financial statements and sworn English translations, and appoints a resident authorised representative. Preparing the papers sets the timeline.

Is a local partner, local manager or nominee director required?

No local partner is needed; a foreign owner may hold all of the company. The real condition in company formation in Singapore is the director: at least one must be ordinarily resident in Singapore, which the register defines as a citizen, permanent resident or holder of an Employment Pass, Personalised Employment Pass or Overseas Networks and Expertise Pass. A foreigner living abroad can be a second director; relocating to serve in Singapore requires a pass.

An investor without a resident person can use a paid director service, but Singapore law has no concept of a “sleeping” director. Every registered director carries the same legal liability (fines and imprisonment on breach, a five-year disqualification), nominee directors are entered in a separate register, and banks may refuse companies whose nominee director has no real connection to the business. Moreover, for a remotely run company the place where decisions are taken determines whether it risks being treated as resident in another country.

Capital, address and registers

Company formation in Singapore requires SGD 1 of capital; the register sets no minimum and one issued share is enough. A more meaningful amount is planned with the bank review, the pass application and first-year expenses in mind. The registered office must be in Singapore, not a post-office box, and open at least three hours on business days; a service provider’s address is accepted.

The company keeps three non-public registers: registrable controllers (filed at incorporation; changes reported to the central register within two business days), nominee directors and nominee shareholders. The annual general meeting is held within six months of the financial year-end and the annual return filed within seven; all members may resolve to dispense with the meeting. A private company that meets two of three tests in the last two financial years (revenue up to SGD 10 million, total assets up to SGD 10 million, up to 50 employees) is exempt from audit.

How much does company formation in Singapore cost?

The figures below for company formation in Singapore are indicative for a single-owner private limited company (Singapore dollars). Official fees are low; the real cost is the resident director, the secretary, an address and accounting. A service proposal defines the scope.

ItemAmount (SGD)
Name reservation and registration (official)15 + 300
Annual return (official)60
Formation service package≈ 500–1,500
Company secretary (yearly)≈ 280–900
Resident director service (yearly)≈ 1,800–4,000 + deposit
Registered address (yearly)≈ 110–420
Bookkeeping (monthly)≈ 250–2,500
Audit (small company, if not exempt)from ≈ 2,000

In company formation in Singapore, providers of the resident director service may ask for a deposit of SGD 2,000–10,000, limit the director’s authority and restrict bank access. Service fees vary with the structure and every extra step is agreed separately. For a branch, the difference is the certification and translation of the parent’s documents and the yearly filing of financial statements.

After formation: tax, accounting and invoicing

Corporate tax. Company formation in Singapore brings a 17% rate, but the partial exemption leaves 75% of the first SGD 10,000 and 50% of the next SGD 190,000 untaxed. New companies with at most twenty shareholders and at least one individual holding 10% get the start-up exemption for three years of assessment: 75% of the first SGD 100,000 and 50% of the next SGD 100,000. A 50% rebate (capped at SGD 40,000) applies for the 2026 year of assessment. Losses carry forward indefinitely while the shareholding is maintained; there is no capital gains tax. Since 2024, gains on foreign assets received in Singapore by members of multinational groups without real presence are taxed.

Dividends and withholding. Under the one-tier system there is no withholding on dividends. Payments abroad are withheld at 15% on interest, 10% on royalties, 17% on technical and management fees for services performed in Singapore and 24% on non-resident directors’ fees. The 1999 treaty with Turkey (applied since 2002) caps dividends at 10% or 15%, interest at 7.5% or 10% and royalties at 10%; as Singapore does not withhold on dividends, the treaty dividend rate matters only for payments from Turkey.

Goods and services tax. The rate is 9%; a business whose taxable supplies exceed SGD 1 million in twelve months registers. The e-invoicing network is becoming mandatory in phases: all new voluntary registrants from 1 April 2026, new compulsory registrants from 2028 and existing registrants by turnover up to 2031.

Accounting and filing. After company formation in Singapore, financial statements follow Singapore financial reporting standards. The estimated chargeable income is filed within three months of the year-end (waived if revenue is below SGD 5 million and the estimate is nil) and the annual return by 30 November; tax is paid within a month of assessment. Residence requires control and management (board meetings) in Singapore.

Transfer pricing and minimum tax. A company with revenue above SGD 10 million prepares contemporaneous transfer pricing documentation; adjustments carry a 5% surcharge. There are no thin capitalisation or controlled-foreign-company rules. Groups with consolidated revenue above EUR 750 million are subject to the global minimum tax from 1 January 2025.

Compliance calendar
  • At incorporation: controllers filing
  • Within 3 months: auditor (unless exempt)
  • Within 6 months: company secretary
  • 3 months after year-end: estimated chargeable income
  • 6 months after year-end: general meeting
  • 7 months after year-end: annual return
  • 30 November: corporate tax return
  • Quarterly: goods and services tax return

Work passes and employer obligations

Company formation in Singapore gives the manager no right to live or work. The routes are: the Employment Pass (fixed monthly salary of at least SGD 5,600, SGD 6,200 in financial services, rising with age to SGD 10,700 at 45; SGD 6,000 and 6,600 for new applications from 1 January 2027) together with 40 points on salary, qualifications, diversity and local employment criteria; the EntrePass (applied for before or within six months of incorporation, at least 30% shareholding and one of venture funding, incubator, intellectual property or similar); the Overseas Networks and Expertise Pass at SGD 30,000 a month; and the Personalised Employment Pass at SGD 22,500.

A Dependant’s Pass for spouse and children needs SGD 6,000 of salary. For information only: residence-by-investment routes exist, but our firm does not offer this service.

For company formation in Singapore, Turkish citizens enter Singapore without a visa; the electronic arrival card is completed up to three days before arrival. Visitors may not work.

Company formation in Singapore also brings employer costs, though the Central Provident Fund is paid only for citizens and permanent residents (employer 17%, employee 20% up to age 55; monthly wage ceiling SGD 8,000) and foreign employees are outside it. A 0.25% skills development levy applies to all employees, a SGD 650 monthly levy and sector quotas (10–15%) to mid-skilled foreign passes. There is no general minimum wage; to count as local in quota calculations an employee must earn the local qualifying salary of SGD 1,800 a month from 1 July 2026.

After company formation in Singapore, working time is 44 hours a week; overtime is paid at 1.5 times the hourly rate and capped at 72 hours a month. Annual leave is 7 days in the first year and 14 in the eighth; sick leave is 14 days outpatient and 60 days hospitalisation; there are 11 public holidays. Where the contract is silent, notice runs from 1 day to 4 weeks by service. Retrenchment benefit is not statutory; the norm is two weeks’ to one month’s pay per year of service, and employers with ten or more staff notify the ministry within five working days. There is no social security agreement between Turkey and Singapore.

The home-country dimension: what decides the outcome

Company formation in Singapore does not end tax obligations elsewhere

Singapore has double tax treaties with many countries. A treaty allocates taxing rights; residence, controlled-foreign-company rules and the taxation of dividends are decided by the owners’ own country. Each point below rests on facts to settle before formation.

  • Place of effective management. After company formation in Singapore, a company whose decisions are taken in another country is treated in many countries as resident there and taxed on its worldwide income; Singapore itself ties the residence certificate to board meetings held in Singapore. A registered address and a paid resident director do not answer this; real decision-making, records and presence in Singapore are the only defence.
  • Two sides of the 17% rate. The 17% statutory rate meets the minimum-tax condition (15% in many countries) for participation exemptions in the owners’ country on paper. But the partial and start-up exemptions, the rebate and incentives easily push the real burden below 15%; the condition then fails and controlled-foreign-company rules may apply. Whether the statutory or the effective burden is measured depends on the owners’ country’s rule and is calculated before formation.
  • No dividend withholding, no credit. Because Singapore does not withhold on dividends, no tax arises to credit in the owners’ country; the dividend is taxed or exempted there under its own rules. For interest and royalties the residence certificate must be on file at the time of payment to use the treaty rate.
  • Intra-group invoices. Service invoices from the parent to the Singapore subsidiary may attract 17% withholding where the service is performed in Singapore; the deduction depends on transfer pricing and proof that the work was done, and the same invoice is also reviewed in the parent’s country. The agreement is designed for both sides together.
  • Branch or company? Branch profit is the parent’s own income: participation exemptions in the owners’ country do not apply to a branch, the tax paid in Singapore is credited against the parent’s tax, and the start-up exemption is not available to a branch. A company instead engages the dividend exemption and controlled-foreign-company rules.

Frequently asked questions

Do I need to travel to Singapore for company formation in Singapore?

Not for formation: the filing is made online through a registered filing agent and identity verification is completed remotely. Traditional banks ask for an in-person meeting with the directors, so a visit shortens the account opening; digital banks open remotely.

Can a company be the owner in company formation in Singapore?

Yes. The parent’s current constitution, registry certificate, investment resolution and signing authority are submitted for the filing agent’s verification; as Singapore is party to the apostille convention, documents from Turkey can be apostilled. The start-up exemption requires at least one individual shareholder holding 10%.

Is a local owner or local manager required for company formation in Singapore?

No local owner is required; a foreign owner may hold all of the company. But at least one director must be ordinarily resident in Singapore. Without a resident person, a paid director service is used; that person carries full legal liability and is entered in the register of nominee directors.

What is the minimum capital for company formation in Singapore?

SGD 1; the register sets no minimum. Starting with a meaningful amount helps with the bank review and the pass application.

How long does company formation in Singapore take, and when is the bank account open?

With documents and a resident director in place, registration is usually completed the same day; complex files may take 15 working days. A bank account is quoted at one to eight weeks at traditional banks and a few days at digital banks.

What does the manager need to work in Singapore?

An Employment Pass (fixed monthly salary of at least SGD 5,600 and the points framework) or an EntrePass. Being a director alone gives no residence right; the manager cannot serve in Singapore without a pass.

Is an office required for company formation in Singapore?

A Singapore address that is not a post-office box and is open at least three hours on business days is required; a service provider’s registered address is accepted. Banks and pass assessments may look for evidence of real activity.
