Company formation in Hong Kong does not require the owners to travel: a private limited company is usually registered within an hour of electronic filing, there is no residence requirement for the director and profits tax applies only to Hong Kong-sourced profit. What decides whether the structure works is not registration but the bank account, the resident company secretary and registered office, the mandatory annual audit, the manager’s visa route and how the company is treated in the owners’ home country.
Company formation in Hong Kong: which structure is right for you?
For most foreign investors, company formation in Hong Kong means a private company limited by shares: one to fifty shareholders, no minimum capital, at least one natural-person director who need not live in Hong Kong. A foreign parent can register a branch; a representative office has no separate company registration, only a business registration. In company formation in Hong Kong the choice depends on whether a separate entity is wanted and whether the parent’s documents will be disclosed.
Formed by individual or corporate, local or foreign shareholders; share transfers are restricted and public offers prohibited. A resident company secretary and a registered office in Hong Kong are mandatory.
- At least one natural-person director, no residence requirement
- Annual audit mandatory
- Significant controllers register kept
Registered within one month of establishing a place of business, with the parent’s certified constitution and latest accounts; an authorised representative resident in Hong Kong is appointed.
- The parent is directly liable
- No significant controllers register
- Parent documents filed yearly
No Companies Registry filing; only a business registration with the tax authority. No trading activity.
- Yearly business registration fee
- No sales or contracts
- Outside profits tax
Whatever the vehicle, the reasons that stand out for company formation in Hong Kong are the territorial principle (only Hong Kong-sourced profit is taxed), the 8.25% rate on the first HKD 2 million, no withholding on dividends and interest, no VAT or capital gains tax and a treaty network of 55 jurisdictions including Turkey. An enhanced deduction of up to 300% on qualifying research and development, a 5% patent box, 8.25% for corporate treasury centres and the family office exemption are conditional incentives.
How does company formation in Hong Kong work, step by step?
OzbekCPA coordinates the formation with its team in Hong Kong: the document list is issued, the articles are drafted, the resident secretary and registered office solution is planned, the registry and business registration filings are made and the bank opening is supported. In company formation in Hong Kong the filing is made through the electronic services portal after a licensed corporate service provider has verified identity; incorporation and business registration are combined in one application.
- Days 1–2Name and structureAn English or Chinese name is checked with the registry; shareholders, director, secretary, registered office, capital and financial year-end are settled.
- Weeks 1–2Documents and identity verificationPassport and proof of address for each shareholder and director; certified parent documents for a corporate shareholder. Hong Kong is party to the apostille convention and documents from Turkey can be apostilled; the registry requires certified copies, and whether it also requires an apostille is confirmed.
- 1 hourIncorporation and business registrationThe incorporation form, articles and business registration notice are filed electronically (HKD 1,545 incorporation and HKD 2,350 for a one-year business registration); electronic filings normally take one hour, paper filings four working days.
- After incorporationRegisters and designated representativeThe significant controllers register (more than 25% of shares or votes, power to appoint management) is kept at the registered office and a designated representative resident in Hong Kong is appointed.
- 3–8 weeksBank accountTraditional banks ask for an in-person or video meeting with the director or owner and take three to eight weeks; virtual banks open fully remotely within one to five business days.
- Within 18 monthsFirst audit and returnThe first profits tax return is usually issued about 18 months after incorporation; the first financial statements are audited.
An investor who registers a branch instead of completing company formation in Hong Kong submits the parent’s constitution, certificate of incorporation and latest accounts as certified copies with certified translations where needed; the authorised representative may be a resident individual or a law or accounting firm. Preparing the papers sets the timeline.
Is a local partner, local manager or nominee director required?
No. Company formation in Hong Kong needs no local partner or resident director; a foreign owner may hold all of the company and the sole natural-person director may live abroad. The local link is required in two places: the company secretary must be resident in Hong Kong if an individual, or registered in Hong Kong if a company (a sole director cannot also be the secretary), and a designated representative resident in Hong Kong is needed for the significant controllers register. Being a director gives no residence or work right.
A nominee director (a director on paper only) was not researched as a separate institution in Hong Kong law; with no residence requirement, the need for one is limited. Every registered director carries liability for the role, controllers are entered in the register and banks ask who actually decides and what link the company has to Hong Kong or Asia. Moreover, for a remotely run company the place where decisions are taken determines whether it risks being treated as resident in another country.
Capital, address and registers
Company formation in Hong Kong has no minimum capital; a single share of HKD 1 is enough. The amount of capital does not affect registration or fees; a meaningful amount is planned for the bank review and visa applications. The registered office must be in Hong Kong; a service provider’s address is accepted.
After company formation in Hong Kong, the significant controllers register is not public but is open to law enforcement and regulators. The annual return is filed within 42 days of the incorporation anniversary (HKD 105; late fees rise to HKD 3,480). A private company holds its annual general meeting within nine months of the financial year-end; a single-member company needs none and all members may dispense with it by written resolution. Since 2025 company communications can be delivered by website with members’ deemed consent.
In company formation in Hong Kong an audit is mandatory for every company; the only exception is a dormant company. A private company that meets two of three tests (revenue and total assets up to HKD 100 million, up to 100 employees) may use simplified reporting but is not relieved of the audit.
How much does company formation in Hong Kong cost?
The figures below for company formation in Hong Kong are indicative for a single-owner private limited company (Hong Kong dollars). Official fees are low; the real cost is the secretary, the registered office, accounting and the mandatory audit. A service proposal defines the scope.
| Item | Amount (HKD) |
|---|---|
| Incorporation fee (electronic; paper 1,720) | 1,545 |
| Business registration, 1 year (2026/27; three years 6,170) | 2,350 |
| Annual return (official) | 105 |
| Branch: registration fee / annual return | 1,545 / 180 |
| Company secretary (yearly) | ≈ 1,300–8,000 |
| Registered office, accounting (yearly) | by proposal |
| Audit: dormant / low activity / general small business | ≈ 3,000–6,000 / 5,000–12,000 / 12,000–30,000 |
| Minimum balance at major banks | ≈ 50,000–100,000 |
Official fees for company formation in Hong Kong in the first year total about HKD 3,895; the business registration is renewed every year. A first audit can cost 20–40% more than later years. No reliable range was found for the registered office and accounting. For a branch, the difference is the certification and translation of the parent’s documents and the yearly filing of the parent’s accounts.
After formation: tax, accounting and filing calendar
Profits tax. Company formation in Hong Kong brings a 16.5% rate; under the two-tier system the first HKD 2 million is taxed at 8.25% and only one company in a group may use that tier. Tax applies only to profit arising in Hong Kong; an offshore claim is documented for foreign-sourced profit. A 100% tax reduction (capped at HKD 3,000) has been enacted for the 2025/26 year of assessment. Losses carry forward indefinitely; there is no capital gains tax, VAT or tax on dividends. For members of multinational groups, foreign-sourced interest, dividends, intellectual property income and disposal gains are taxed unless there is adequate real presence in Hong Kong.
Withholding and the Turkey treaty. There is no withholding on dividends or interest; royalties to non-residents carry an effective 4.95% (16.5% for associated parties where the intellectual property was previously owned in Hong Kong). The treaty with Turkey signed on 24 September 2024 entered into force on 30 January 2026: it is expected to apply in Hong Kong from the year of assessment beginning 1 April 2027 and in Turkey from 1 January 2027. It caps dividends at 5% (at least 25% holding for 365 days) or 10%, interest at 7.5% or 10% and royalties at 7.5% or 10%.
Filing calendar. The tax year runs 1 April to 31 March; profits tax returns are issued on the first working day of April with block extensions by year-end date (mid-August for 31 December, mid-November for 31 March year-ends). Provisional tax is paid in two instalments. The employer’s return is also filed in April; new hires are reported within three months and departures one month in advance. A certificate of resident status is issued within 21 working days to companies incorporated in or managed from Hong Kong.
Transfer pricing and minimum tax. A company meeting two of three tests (revenue up to HKD 400 million, total assets up to HKD 300 million, up to 100 employees) is exempt from master and local files; transaction thresholds are quoted as HKD 220 million for goods, 110 million for financial assets and intangibles and 44 million for other transactions, to be confirmed. Files are prepared within nine months of year-end. There is no thin capitalisation rule, but deduction of interest paid to foreign related parties is restricted. Groups with consolidated revenue above EUR 750 million are subject to the global minimum tax and a domestic top-up tax from 1 January 2025.
Accounting. After company formation in Hong Kong, financial statements follow Hong Kong financial reporting standards and are audited every year. Stamp duty on share transfers is 0.1% for each party. The 2026 budget lowered the intra-group transfer relief threshold from 90% to 75%.
- At incorporation: business registration, controllers register, designated representative
- 42 days after anniversary: annual return
- Yearly: business registration renewal
- 9 months after year-end: general meeting (unless dispensed)
- April: profits tax and employer’s returns issued
- Block extension: August/November by year-end date
- 10th of each month: pension fund contributions
Visas and employer obligations
Company formation in Hong Kong gives the manager no right to live or work. The routes are: the investment-as-entrepreneur visa for running one’s own business (no minimum investment; a three-year business plan and financial projections and a contribution to the economy are assessed; first period 36 months, processing about four weeks); the employment visa (no local recruitment proof for Talent List occupations or packages above HKD 2 million a year; first period three years); and the Top Talent Pass Scheme (income of HKD 2.5 million in the last year or a graduate of a top-ranked university). For information only: a residence-by-investment scheme (HKD 30 million) exists, but our firm does not offer this service.
For company formation in Hong Kong, note that Turkish citizens enter Hong Kong visa-free for up to 90 days; visitors may not work or establish a business.
Company formation in Hong Kong also brings employer costs. Employer and employee each contribute 5% to the mandatory provident fund (on monthly income between HKD 7,100 and 30,000; cap HKD 1,500 each); foreigners entering for employment are exempt for the first 13 months or while members of an overseas retirement scheme. The minimum wage is HKD 43.1 an hour from 1 May 2026; there is no general working-hours law. Employees’ compensation insurance is mandatory for all employees. One rest day a week, 15 statutory holidays from 2026, 7–14 days of annual leave by service, 14 weeks of maternity and 5 days of paternity leave apply.
After company formation in Hong Kong, no notice is needed in the first month of probation and at least seven days thereafter; where the contract is silent, one month applies. Severance payment after 24 months and long service payment after 5 years are calculated as two-thirds of the last month’s wage times years of service (wage cap HKD 22,500, total cap HKD 390,000); from 1 May 2025 these payments can no longer be offset against provident fund contributions. No social security agreement between Turkey and Hong Kong was found; the 13-month fund exemption is used for seconded employees.
The home-country dimension: what decides the outcome
Hong Kong has double tax treaties with 55 jurisdictions. A treaty allocates taxing rights; residence, controlled-foreign-company rules and the taxation of dividends are decided by the owners’ own country. Each point below rests on facts to settle before formation.
- Place of effective management. After company formation in Hong Kong, a company whose decisions are taken in another country is treated in many countries as resident there and taxed on its worldwide income. Because Hong Kong imposes no residence requirement on the director, this risk is especially high; a registered address does not answer it, and real decision-making, records and presence in Hong Kong are the only defence.
- Two sides of the territorial principle. The 16.5% statutory rate meets the minimum-tax condition (15% in many countries) for participation exemptions in the owners’ country on paper. But the 8.25% tier, foreign profits left untaxed under an offshore claim and incentives can push the effective burden far below 15%; the condition then fails and controlled-foreign-company rules apply. Whether the statutory or the effective burden is measured depends on the owners’ country’s rule and is calculated before formation.
- No dividend withholding, no credit. Because Hong Kong does not withhold on dividends, no tax arises to credit in the owners’ country; the dividend is taxed or exempted there under its own rules. As the treaty with Turkey applies from 2027, the timing of payments in the transition period is planned.
- Intra-group invoices. Service invoices from the parent to the Hong Kong subsidiary carry no withholding, but the deduction depends on transfer pricing and proof that the work was done, and the same invoice is also reviewed in the parent’s country. For royalties the effective 4.95% withholding and the treaty rate are assessed together.
- Branch or company? Branch profit is the parent’s own income: participation exemptions in the owners’ country do not apply to a branch, and the tax paid in Hong Kong is credited against the parent’s tax. A company instead engages the dividend exemption and controlled-foreign-company rules.
Frequently asked questions
Do I need to travel to Hong Kong for company formation in Hong Kong?
Not for formation: the filing is made electronically after a licensed service provider has verified identity. Traditional banks ask for an in-person or video meeting with the director or owner; virtual banks work fully remotely.
Can a company be the owner in company formation in Hong Kong?
Yes. The parent’s current articles, registry certificate, investment resolution and signing authority are submitted as certified copies; as Hong Kong is party to the apostille convention, documents from Turkey can be apostilled. Multi-layered ownership structures raise the risk of refusal at the bank.
Is a local owner or local manager required for company formation in Hong Kong?
Neither is required; the director need not live in Hong Kong. The local link is provided by a Hong Kong-resident company secretary, the registered office and the designated representative. Being a director gives no residence right.
What is the minimum capital for company formation in Hong Kong?
There is none; a single share of HKD 1 is enough. Starting with a meaningful amount helps with the bank review and the entrepreneur visa.
How long does company formation in Hong Kong take, and when is the bank account open?
Electronic registration is normally completed within an hour; with document preparation it takes one to two weeks. A bank account is quoted at three to eight weeks at traditional banks and one to five business days at virtual banks; companies with no Hong Kong or Asian link and an unclear business model face a high risk of refusal.
Is there a tax treaty between Turkey and Hong Kong?
Yes. The treaty signed on 24 September 2024 entered into force on 30 January 2026; it is expected to apply in Hong Kong from the year of assessment beginning 1 April 2027 and in Turkey from 1 January 2027. It caps dividends at 5% or 10%, interest at 7.5% or 10% and royalties at 7.5% or 10%.
Is an audit mandatory after company formation in Hong Kong?
Yes, every Hong Kong company other than a dormant one has its financial statements audited every year. Small private companies may use simplified reporting, but the audit obligation remains.
